Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Malvina LLC (“Malvina”, “we”, “us”, or “our”) and govern your access to and use of malvina.ai, our applications, and related services (together, the “Service”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
1. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the Service. You may not use the Service if you are barred from doing so under applicable law or if your account has previously been suspended or terminated by us.
2. Accounts
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at legal@malvina.ai if you suspect unauthorized use. Accounts are for a single user unless you are on a plan that expressly permits multiple seats.
3. The Service
Malvina analyzes your professional profile, proposes a content strategy, generates draft posts and comments, schedules publication, and reports on results. Features vary by plan and may change over time. We may add, modify, or discontinue features at our discretion, and we will give reasonable notice of material adverse changes to paid features.
4. Connected platforms
The Service integrates with LinkedIn and may integrate with other third-party platforms. When you connect an account, you authorize us to access and act on that platform on your behalf within the permissions you grant.
You are responsible for complying with the terms, policies, and usage limits of any connected platform. Those platforms are independent of us: we do not control them, we are not responsible for their availability or actions, and they may change or withdraw access at any time, which may limit or disable parts of the Service.
5. Subscriptions, billing, and trials
- Plans and fees. Paid plans are billed in advance on a monthly or annual cycle at the prices shown at the time of purchase, plus applicable taxes.
- Free trial. Where offered, a free trial runs for the stated period. If you do not cancel before it ends, the plan converts to a paid subscription and the first charge is applied.
- Automatic renewal. Subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processors to charge your payment method on each renewal.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades.
- Price changes. We may change prices with at least 30 days’ notice before the change applies to your next renewal. If you do not agree, you may cancel before the renewal date.
- Failed payments. If a charge fails, we may retry, suspend access, or terminate the subscription after notice.
6. Your content
You retain all rights in the content you submit to the Service and in the content published to your accounts (“Your Content”). You grant Malvina LLC a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, and transmit Your Content solely to operate and improve the Service and to perform the actions you request, such as publishing on a connected platform.
You represent that you have the rights necessary to submit Your Content and that it does not infringe the rights of others or violate applicable law.
7. AI-generated output
The Service uses artificial intelligence to produce suggestions, drafts, and analyses (“Output”). Output may be inaccurate, incomplete, outdated, or unsuitable for your purpose, and similar Output may be generated for other users.
You are solely responsible for reviewing, editing, and approving Output before publishing it, and for ensuring it is accurate and compliant with applicable law and the rules of any platform on which it is published. Output does not constitute legal, financial, tax, or professional advice.
As between you and us, and to the extent permitted by law, you own the Output you publish, subject to your compliance with these Terms.
8. Acceptable use
You agree not to:
- Use the Service in violation of any law, regulation, or third-party right.
- Publish content that is unlawful, defamatory, harassing, hateful, deceptive, or infringing.
- Impersonate any person or misrepresent your affiliation with any person or entity.
- Generate spam, engage in coordinated inauthentic behaviour, or artificially inflate engagement.
- Circumvent, disable, or interfere with security features, rate limits, or usage limits.
- Reverse engineer, decompile, scrape, or attempt to derive the source code or models behind the Service, except to the extent that restriction is prohibited by law.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan.
- Upload malware or take any action that imposes an unreasonable load on our infrastructure.
We may investigate suspected violations and suspend or terminate access where we reasonably believe these Terms have been breached.
9. Intellectual property
The Service, including its software, models, design, text, graphics, and trademarks, is owned by Malvina LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business or personal professional purposes. No rights are granted other than those expressly stated.
10. Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or compensation.
11. Term and termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access with notice for breach of these Terms, non-payment, or where required by law, and immediately where necessary to protect the Service or other users.
On termination, your licence to use the Service ends and we may delete Your Content in accordance with our Privacy Policy. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, survive termination.
12. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Malvina LLC disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that Output will be accurate, or that using the Service will produce any particular level of reach, engagement, followers, leads, or business results.
13. Limitation of liability
To the maximum extent permitted by law, Malvina LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnification
You agree to indemnify and hold harmless Malvina LLC and its officers, employees, and agents from any claims, damages, liabilities, and reasonable legal fees arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.
Before filing a claim, you agree to contact us at legal@malvina.ai so we can try to resolve the matter informally. Nothing in this section limits any mandatory rights you have as a consumer in your country of residence.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice such as an email or an in-product message before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
17. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Malvina LLC regarding the Service and supersede any prior agreements.
- Severability. If a provision is found unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may send notices to the email address on your account. Notices to us should go to legal@malvina.ai.
